Materialidade

O quanto uma informação é vital para os investidores depende muito de como definir uma informação de “material” ou “imaterial”.

Como o CFO Journal informou na terça-feira, pelo menos meia dúzia de entidades de normatização, incluindo criadores de regras contábeis, SEC e bolsa de valores, possuem algumas diretrizes sobre quais informações devem ser apresentadas aos investidores e quando. (...) As empresas estão cada vez mais preocupadas com que tantas interpretações diferentes de materialidade seja parte do problema ele [Tom Quaadman] disse.

Aqui algumas das definições de materialidade de cinco diferentes reguladores:

Suprema Corte dos EUA:
Em 1976 o juiz Thurgood Marshall escreveu esta definição de materialidade na decisão TCS Industries, Inc. versus Northway Inc. e tem sido considerada nos casos de fraudes de valores mobiliários:

“An omitted fact is material if there is a substantial likelihood that a reasonable shareholder would consider it important in deciding how to vote.”

Comissão de Valores Mobiliários (SEC)
A SEC atualizou sua definição de materialidade ao longo dos anos para alinhar mais com a Suprema Corte. De acordo com a entidade de proteção dos investidores dos EUA a informação é material se:

“when used to qualify a requirement for the furnishing of information as to any subject, [materiality] limits the information required to those matters to which there is a substantial likelihood that a reasonable investor would attach importance in determining whether to purchase the security registered.”

Financial Accounting Standards Board (FASB)
O FASB recentemente propôs deixar seu próprio padrão de materialidade e adotar o padrão da Suprema Corte para deixar claro que materialidade é um conceito jurídico. O conceito atual:

Information is material if omitting it or misstating it could influence decisions that users make on the basis of the financial information of a specific reporting entity. In other words, materiality is an entity-specific aspect of relevance based on the nature or magnitude or both of the items to which the information relates in the context of an individual entity’s financial report. Consequently, the Board cannot specify a uniform quantitative threshold for materiality or predetermine what could be material in a particular situation.

International Accounting Standards Board
O Iasb está considerando alterar seu padrão de materialidade de forma que ele possa focar na informação “que possa ser razoavelmente esperada” para influenciar os investidores e explica que a materialidade pode ser aplicada como um filtro nas demonstrações financeiras. De acordo com a estrutura conceitual atual do Iasb para demonstrações financeiras:

“Information is material if omitting it or misstating it could influence decisions that users make on the basis of financial information about a specific reporting entity. In other words, materiality is an entity-specific aspect of relevance based on the nature and magnitude, or both, of the items to which the information relates in the context of an individual entity’s financial report.”

Public Company Accounting Oversight Board
Auditores e seus clientes corporativos, por extensão, também devem considerar a materialidade quando eles decidem como irão avaliar os livros de uma empresa. O PCAOB inclui a definição da suprema Corte dos EUA mas fornece suas instruções específicas para os auditores:

To obtain reasonable assurance about whether the financial statements are free of material misstatement, the auditor should plan and perform audit procedures to detect misstatements that, individually or in combination with other misstatements, would result in material misstatement of the financial statements. This includes being alert while planning and performing audit procedures for misstatements that could be material due to quantitative or qualitative factors.
…To plan the nature, timing, and extent of audit procedures, the auditor should establish a materiality level for the financial statements as a whole that is appropriate in light of the particular circumstances. This includes consideration of the company’s earnings and other relevant factors. To determine the nature, timing, and extent of audit procedures, the materiality level for the financial statements as a whole needs to be expressed as a specified amount.
